自從美國「安隆」及「世界通訊」等弊案發生後，全世界引發一陣探討公司治理的熱潮；隨即，臺灣亦發生「博達」及「訊碟」等弊，公司治理的相關研究如雨後春筍般陸續發表。綜觀先前的研究，可以發現研究者多半以微觀的方式探討公司治理機制，研究的對象也多以上市上櫃公司為主，而將臺灣最大的經濟體—「中小企業」排除公司治理評論範圍外。 因此，本研究試圖以宏觀的方式探討中小企業實施公司治理的可能性，同時以臺灣證交所與櫃檯買賣中心共同制訂之「上市上櫃公司治理實務守則」為藍本，瞭解臺遇中小企業在「健全董事會」、「保障股東權益」、「維護利害關係人權益」、「發揮監察人功能」以及「提升資訊透明度」等公司治理機制五構面的落實程度，輔以組織績效的討論，說明公司治理機制與組織績效間的相關性。
