本文擬由美國CAFC關於揭露義務問題之最新判決切入，藉由對該案極具戲劇性的發展及結果之瞭解，再進一步深入探討美國揭露義務之規範、IDS(Information Disclosure Statement)及違反揭露義務之法律效果。
