美國自爆發安隆(Enron)案以來爆發一連串弊案，不僅重創經濟，也造成社會整體信 任結構的崩解。為重建信任的社會結構，美國推行一連串的政策與制度，包括公司治理 與沙賓法案…等。然而，重建信任不能僅靠法律與制度，還需透過真誠領導來建立企業 誠信。所謂真誠或誠信等價值文化的建立，不僅是法律條文或規則而已，重點在個人的 信念、價值觀以及由此所形成的整體信念或共識。此為本論文所關切的主題。 本文認為，公司治理不是萬靈丹。公司治理的成功不應全然歸因於公司治理這項制 度，重點在核心價值。無論是「真誠」或「誠信」的企業倫理，其本質與核心精神並沒 有遠離兩千多年前亞里斯多德所主張的倫理思想，其施行的重要原則同樣地要參照共同 善與個別內在善之間的關係。因此本文主張，以美國著名的倫理學家麥金泰爾所闡述的 德行論建立公司治理的核心價值，以此發展真誠領導與建立企業誠信價值。

The Enron scandal, revealed in October 2001, eventually led to the bankruptcy of the Enron Corporation, also destroyed American economic and trustful construction of society. So, Corporate governance system and Sabian Act is established for reconstructing social trust. However, to establish social trust and Integrity for Enterprises needs Authentic Leadership. Likewise, to establish Corporate governance also needs Authentic Leadership. This thesis is doing social trust research by virtue ethics.
