本文使用動態資料包絡分析法(Dynamic Data Envelopment, DEA)分析台灣2012-2017年33家銀行事前結合潛在效率利得分析,本文實證結果發現,銀行結合潛在效率利得有正數也有負數,表示結合後不一定具有潛在結合利得。個別效率最差銀行可透過結合方式提高經營效率成為最佳潛在效率利得,本文研究發現台灣銀行業以大銀行併購小銀行、金控銀行併購金控銀行(效率較不佳)有較高潛在結合利得比率,且發現潛在結合利得數值變動很大,表示銀行業併購時機點非常重要。由於本文已考量銀行業特性,且以長期動態DEA觀察其潛在結合效率利得,可使競爭法主管機關對於結合案之評估更具精確性及潛在效益,也期待將研究結果提供予企業界作為結合策略參考。
This study employed dynamic data envelopment analysis (DEA) to conduct the potential efficiency gains analysis of 33 banks in Taiwan between 2012 and 2017 prior to mergers and acquisitions (M&As). The empirical results revealed positive and negative potential efficiency gains in the bank M&As, which indicate that M&As do not guarantee potential efficiency gains. Individual banks with poor efficiency could enhance their operational efficiency through M&As, which was the optimal potential efficiency gains. Higher potential gains percentages were found in large banks merging small banks and financial holding companies merging other banks under financial holding companies (poorer efficiency). Furthermore, we discovered that potential gains figures varied widely, which indicates that the timing of M&As is crucial. This study took the characteristics of the banking industry into account and used long-term dynamic DEA to observe potential efficiency gains. The results can help competition law authority assess the potential benefits of merger cases more accurately and can hopefully provide the industry with reference for M&A strategies.
