本研究嘗試以交易成本理論和網路鑲嵌理論出發，以台灣半導體產業的合作案作爲研究對象，探討交易成本理論和網路理論於組織間統治的應用。過去研究對於組織間合作該用何種統治方式，通常以交易成本理論的觀點說明以科層機制管理跨組織合作以避免交易成本帶來的投機行爲。但是實務中有些複雜的組織間資源交易使用科層機制，有些卻不盡然，因此只使用單一理論無法完全解釋實務界中所有的管理現象。爲探討影響合作案管理方式背後的原因，本研究以交易成本理論和網路鑲嵌觀點出發，說明經濟因素與社會因素均會影響統治方式，並以竹科內所有半導體廠商爲研究對象，利用網路分析方法與OrderedProbit迴歸，證明交易成本與網路鑲嵌的存在均影響合作雙方以正式控制的方式管理合作，這樣的有趣結果與一般組織理論學者解釋網路鑲嵌可以替代正式控制的觀點不同。本文也進一步證明網路理論中的網路鑲嵌還具有干擾(moderate)交易成本和正式控制機制的關係，網路鑲嵌可以強化因交易複雜性而對正式控制所產生的需求，也會弱化了因交易資訊不對稱與資產專屬性而產生的正式控制需求。因此，本研究證明了網路鑲嵌針對於不同的交易成本特性，扮演了多角色的功能，不但互補於正式控制，也會針對不同的交易特質產生干擾的作用，值得管理者深思。

This research is aiming to explore the implication of transaction cost economics (TCE) and network embeddedness theory upon the governance role of interfirm alliances. According to TCE, interfirm cooperation associated with high TC should be governed by greater hierarchical control. However, we observed contradictions in practice that some alliances characterized by high transaction cost are governed by hierarchical control, while some others are not. It shows that only use one theory to explain all phenomena is insufficient. The institutional and historical factors do matter. Therefore, we adopt the perspectives of network embeddedness theory and transaction cost theory to build the ordered probit models. Our result supports that the higher the transaction costs and network embeddedness, the grater extent to which hierarchy-based governance of strategic alliance is adopted. This interesting finding is different from the usual substitute view of embeddedness. We also found the moderating role of embeddedness upon the positive relationship between transaction coast and hierarchical control. The embeddedness may positively moderate the transaction complexity and formal control and negatively moderate the relationship between information asymmetry, asset specificity and formal control. The interesting finding highlights the new managerial strategy when applying network embeddedness to interorganizational relationship.
