企業間策略聯盟始於美國大企業的技術合作,近十多年來隨著經濟全球化、自由化的腳步加速,策略聯盟在歐、日等先進工業國家,及台灣、南韓、香港等新興工業國家的企業間均有大量成長的趨勢。誚]聯盟的形成速度快,比科層組織具彈性,所涉風險較低,所需資金較小,所耗費之人力資源也較有限;與併購相較,廠商可以相同的代價完成數個策略性聯盟;與市場相較,聯盟具有更多社會的限制接近、總體文化、聲譽、集體制裁等社會控制機制,且更有利於廠商間高度專業的協調等優點。
為瞭解聯盟對廠商經營績效所產生的正面影響程度,本研究的主要目的即在於檢視廠商的策略聯盟多寡與聯盟類型,對廠商的經營績效有何影響。而聯盟類型可依照跨國/國內、股權基礎與價值鏈活動等構面來歸類。
高科技產業中的生物科技產業內豐富的策略聯盟現象,最適於用來研究廠商採行的各種不同目的、弁鄋瑭p盟,對組織績效的影響。以往的研究多以各廠商內之單一聯盟作為分析單位,然而實務上,廠商往往會進行多樣且為數不少的重要聯盟,是以難窺廠商內的眾多聯盟對廠商整體績效之影響。故本研究將各家公司所有的重要聯盟均納入研究,應可更接近實況,更能更深入探討生物科技公司全盤的策略聯盟情況。本研究即針對國內37家上市、上櫃與興櫃生技公司在91年的所有重要聯盟(共487個)聯盟,利用相關分析、變異數分析與多元迴歸分析進行實證。
本研究的重要發現如下:1. 當生技公司的規模越大、經營時間越長久,代表其資源稟賦、經驗越豐富,則其聯盟數目往往越多,其跨國聯盟、股權基礎等類型的聯盟越多。2. 生技公司的聯盟總數對績效有正向影響。3. 在國際聯盟方面,跨國聯盟越多(跨國聯盟率越高)則績效越佳。4. 在股權基礎的聯盟方面,則多數股權聯盟較多(股權聯盟率越高)的生技公司,績效較好。5.價值鏈聯盟中,行銷聯盟與多重聯盟有利於廠商的財務績效;研發聯盟則有利於廠商的研發績效。6.聯盟網路的多元性對生技公司現階段的績效則無顯著影響。文末也提出對政府、生技業者及後續研究的建議。
This study aims at combining theory and research on strategic alliance, especially those which can be observed in biotechnological sector, to investigate the impact of variation in types of strategic alliances on firms’ performance.
By applying correlations analysis, variance analysis and multiple linear regression analysis, 487 alliances of thirty-seven Taiwan’s public-listed biotechnological companies’ are analyzed.
The empirical analysis provided broad support for the paper’s hypothesis. The main findings of this study are summarized as follows:
1.Firm size and age affect firm performance positively.
2.Biotechnological companies can enhance their performance by establishing alliances.
3.Biotechnological companies can enhance their performance by entering into more foreign alliances and raising foreign alliances ratio.
4.Biotechnological companies furthermore enhance their performance by forming more equity alliances and raising equity alliances ratio.
5.Biotechnological companies can enhance their financial performance by forming more marketing and multi-type alliances. Biotechnological companies can also enhance their R&D performance by forming more R&D alliances.
6.This study also finds that alliance diversity dose not affect biotechnological companies performance at their present stage of product life cycles.
Finally, the study presents some suggestions to our government, as well as to biotechnological companies and future research.
